ABOUT THE PROGRAMME

The requirements for IPOs continue to evolve, necessitating rigorous legal and financial due diligence to ensure compliance and support successful listings. Principal advisers, legal advisers and reporting accountants must understand the key considerations, risks, and documentation involved in IPO transactions to safeguard investors and facilitate an efficient listing process.

This programme is designed to guide participants in undertaking an effective and efficient legal and financial due diligence process for IPO applicants seeking to list on Bursa Malaysia. It provides an overview of the regulatory framework, including the Capital Markets and Services Act 2007 and relevant guidelines issued by the Securities Commission Malaysia and where applicable, requirements issued by Bursa Malaysia Securities Berhad, and highlights practical approaches to conducting meaningful due diligence and identifying red flags. The programme also covers legal due diligence, focusing on key documentation, the roles of advisers, and strategies to manage legal risks that may affect IPO applications. The financial due diligence session addresses business drivers, accounting policies, financial performance, and overall financial condition to support valuation and pricing considerations. Participants will be equipped to identify key legal and financial issues, address compliance requirements, and ensure IPO applications are prepared in line with regulatory expectations, contributing to a smooth and efficient IPO process.

SPEAKER
Datin Hayati Aman Hashim

Datin Hayati graduated with a Bachelor of Science in Accounting and Master in Business Administration (Corporate Finance) from Northern Illinois University, Illinois, USA. Qualified as a Certified Public Accountant of the American Institute of Public Accountants and Malaysian Institute of Public Accountants (“MICPA”). Member of the Malaysian Institute of Accountants and MICPA; and a member of MICPA’s Commercial, Industry and Public Sector Committee. Worked for 10 years in audit and corporate restructuring departments in 2 of the Big 4 Accounting Firms in Malaysia and USA; including 2 years as an Assurance Manager in KPMG Houston. Headed the Accounting, Finance, Treasury and Tax functions of a public listed company for 11 years.

Head of Corporate Finance – Equities, Corporate Finance & Investments (one of two department heads), of the SC for almost 10 years. Among other roles, this department reviews applications for IPO, Reverse Take-overs and Transfer Listings and makes the appropriate recommendations to the SC Committee. Led the review for SC’s Prospectus Guidelines (2017), the Abridged Prospectus Guidelines (2018), the Electronic Prospectus (2019), and the issuance of new Guidance for the Circular to Shareholders for Significant Acquisitions (2018). Was significantly involved in the discussions over the new IPO approval process (announced in July 2020), the drafting of the Guidelines on Submission of Corporate and Capital Product Proposals and the review of the various key areas of the Equity Guidelines (up to 2019).

Ms Tan Ming-li, Partner, Capital Markets, Corporate, Cheang & Ariff

Ming-li’s expertise is in the practice area of corporate and securities law where she is involved in advising on capital market transactions and related corporate finance work, mergers and acquisitions advising on intervention and statutory schemes for distressed companies, debt and share restructuring schemes, and negotiations with creditors and other stakeholders, as well as handling the transactional aspects of the schemes. Ming-li regularly advises on financial and securities regulation, corporate governance and regulatory compliance matters. She also assists her corporate clientele on the setting up of corporate and trust structures. She was actively involved in corporate and commercial litigation in her early years of practice with specific experience in intellectual property and arbitration matters.

Ming-li has over 28 years of experience in helping local and foreign clients on their corporate and securities transactions in Malaysia and overseas and has advised on many notable capital market transactions, debt restructuring schemes, mergers and acquisitions and equity fund raising over the years. She is consistently recognised by independent publications as a leading individual for her corporate and capital markets work and was named as Malaysia’s Top 100 Lawyers of 2021 by Asia Business Law Journal in 2021. She is recognised in IFLR 1000 as a Highly Regarded Lawyer, ranked as a Leading Lawyer in Corporate/M&A in Asialaw Leading Lawyers and named as a Leading Lawyer in Corporate/Commercial: Equity Capital Markets in Chambers Asia Pacific from 2019 to 2022.

Ms Chan Siew Mei

Chan Siew Mei is an Independent Non-Executive Director of AMMB Holdings Berhad. She joined KPMG Malaysia’s Audit division in 1986 and moved to the Advisory (Transaction Services) practice in 2000. She became the Head of Advisory for KPMG in Malaysia in 2015 and retired from the firm on 31 December 2024.

She started from a junior position, pursued the professional exams of MICPA and qualified as an accountant in 1992. Her key clients included public listed companies (PLCs) involved in mining, manufacturing and industrial products. She then moved into the deal advisory area, where she worked on assignments for multinationals investing locally and abroad, specialising in deal evaluation (due diligence), deal advisory and project management. She dealt with both senior management and Board/Audit Committee members in the assessment and evaluation of these proposals for more than 20 years. Her local clients ranged from some of the largest Malaysian conglomerates to Government-linked companies (GLCs) and private equity (PE) funds while her foreign clients included international PLCs and PE funds. She managed multiple due diligence projects and deal advisory engagements for companies involved in corporate exercises and acquisitions in the financial service, oil and gas, infrastructure, plantation and hospitality sectors.

In 2015, she was elevated to be the Head of Advisory of KPMG Malaysia, which involved her being responsible for both deals and consulting. In the deals and consulting space, she provided oversight on projects such as due diligence, valuation, validation of processes and controls, strategic reviews, compliance reviews, and cybersecurity. She was also the Chief Financial Officer of KPMG Malaysia from April 2022 until her retirement in December 2024. Siew Mei is a Member, The Institute of Chartered Accountants in England and Wales, United Kingdom, Malaysian Institute of Accountants (MIA) and Malaysian Institute of Certified Public Accountants (MICPA). She is also a ESG Expert, European Business School (EBS University), Germany and has a Postgraduate Diploma in Data Science, EMERITUS in collaboration with Columbia Engineering Executive Education, Singapore.
